These Terms of Use (“Terms”) are entered into by and between you (“you” or “User”) and Possip, Inc. (“Company,” “we,” or “us”). These Terms, together with our Privacy Policy (available at https://possip.com/privacy-policy), govern your access to and use of www.possip.com, including your use of any surveys, feedback tools, dashboards, communications, or other services provided by Possip (collectively, the “Website” or “Services”).

Please read these Terms carefully before using the Services. By accessing or using the Services—including participating in Possip surveys or feedback processes—you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use the Services.

5. Trademarks

The name Possip, related product and service names (including Possip Pulse Checks, Possip Reports, and Possip Surveys), and all related logos, designs, and slogans are trademarks of Possip, Inc. or its affiliates or licensors. You may not use such marks without prior written permission from Possip.
All other trademarks appearing on the Website are the property of their respective owners.

6. Prohibited Uses

You may use the Services only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable federal, state, local, or international law or regulation;

• Infringe or violate the rights of others, including intellectual property, privacy, or publicity rights;

• Transmit, upload, or otherwise make available material that is defamatory, obscene, harassing, fraudulent, deceptive, or otherwise objectionable;

You are solely responsible for your User Contributions and their accuracy, legality, and appropriateness.

Possip reserves the right to remove or refuse to post any User Contribution, to terminate your access to these features, and to share information with law enforcement or other authorities when required by law or when appropriate to protect Possip or others.

YOU WAIVE AND HOLD HARMLESS POSSIP FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY POSSIP DURING OR AS A RESULT OF ITS INVESTIGATIONS OR FROM ANY ACTIONS TAKEN AS A CONSEQUENCE OF INVESTIGATIONS BY POSSIP OR LAW ENFORCEMENT AUTHORITIES.

8. Reliance on Information Posted

The materials and information presented through the Services are made available for general informational purposes only. Possip does not warrant the accuracy, completeness, or usefulness of any such information. Any reliance you place on such information is at your own risk.

9. Information About You and Your Visits

By using the Services, you consent to all actions we take with respect to your information in compliance with the Privacy Policy.

Possip, Inc. is based in Tennessee, United States. The Services are intended for users located in the United States. Possip makes no claims that the Services or their content are accessible or appropriate outside of the United States. Users who access the Services from other locations do so on their own initiative and are responsible for compliance with local laws.

12. Disclaimer of Warranties

Possip will not be liable for any loss or damage caused by viruses, malware, denial-of-service attacks, or other harmful material that may affect your systems due to your use of the Services or any linked sites.

Your use of the Services and their content is at your own risk. The Services are provided on an “as is” and “as available” basis, without any warranties of any kind, either express or implied, including but not limited to warranties of merchantability, non-infringement, or fitness for a particular purpose.

Possip does not guarantee that the Services or any content will be accurate, reliable, uninterrupted, or error-free.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you.

13. Limitation of Liability

To the fullest extent permitted by law, in no event will Possip, its affiliates, licensors, or service providers, or their officers, directors, employees, or agents, be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or related to your use or inability to use the Services.

In no event will Possip’s total liability to you exceed the greater of (a) $100 USD or (b) the total amount you paid Possip for use of the Services in the 12 months preceding the event giving rise to the claim.

Some jurisdictions do not allow the limitation of certain damages, so parts of this limitation may not apply to you.

14. Indemnification

You agree to defend, indemnify, and hold harmless Possip, its affiliates, and its respective officers, employees, contractors, agents, and licensors from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Services.

15. Governing Law and Jurisdiction

These Terms and any dispute or claim arising from them are governed by and construed in accordance with the laws of the State of Tennessee, without regard to conflict-of-law principles.

Any legal action or proceeding related to these Terms shall be brought exclusively in the federal or state courts located in Nashville, Davidson County, Tennessee. You waive any objection to such jurisdiction and venue.

16. Arbitration

At Possip’s sole discretion, any dispute arising under these Terms may be submitted to binding arbitration in accordance with the rules of the American Arbitration Association, applying Tennessee law.
If arbitration applies, you waive the right to bring or participate in a class action, and disputes will be handled individually.

17. Limitation on Time to File Claims

Any cause of action or claim you may have arising out of or relating to these Terms or the Services must be filed within one (1) year after the claim accrues, or it is permanently barred.

18. Waiver and Severability

No waiver by Possip of any term or condition shall be deemed a continuing waiver of such term or any other term.
If any provision of these Terms is held to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will continue in full force and effect.

19. Entire Agreement

These Terms and our Privacy Policy constitute the entire agreement between you and Possip regarding the Services and supersede all prior or contemporaneous understandings, communications, and agreements, whether oral or written.
